These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "User") and Distributeme ("Distributeme", "we", "us", or "our"). By accessing or using the Distributeme platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree, you must not access or use the Platform.
Key terms used throughout this document
"Brand"
A legal entity or individual that creates and funds campaigns.
"Creator"
An independent creator who voluntarily participates in campaigns.
"Campaign"
A time-bound distribution opportunity defined by a Brand.
"Verified Metrics"
Performance data retrieved via authorized third-party platform interfaces.
"Platform"
The Distributeme website, applications, APIs, and services.
You must be at least eighteen (18) years old and legally capable of entering binding contracts. By using the Platform, you represent and warrant that you meet these eligibility requirements.
- Each email address may be used to create one Brand account and one Creator account only.
- Accounts are non-transferable.
- You are responsible for maintaining the confidentiality of account credentials.
- You may not impersonate any other person or entity or use another's account without authorization.
Brands provide brand details, declared niche, and email address.
Creators provide creator details, declared niche, and email address.
All information must be truthful, complete, and accurate.
Distributeme is a workflow orchestration, matchmaking, and reporting platform. It facilitates campaign creation, invitations, and performance verification. The Platform does not guarantee outcomes, followers, engagement, or conversion.
Matchmaking is based solely on declared niches and campaign criteria provided by Brands. The Platform introduces Brands and Creators; it does not influence or alter content. Participation is voluntary, and no auto-enrollment or posting obligation exists.
- 1Brands must pre-fund campaigns prior to Creator participation.
- 2Campaigns become binding upon Creator acceptance.
- 3Refunds may occur only if pre-funded campaign balances exceed accepted Creator participation.
- 4Refunds are not permitted if a Brand dispute investigation shows the Creator complied with campaign criteria.
- Participation is voluntary and independent.
- Creators retain full ownership of the content they create.
- By participating, Creators grant Distributeme the right to use Verified Metrics for reporting and verification.
- All Verified Metrics are derived from authorized third-party platform APIs.
- Metrics are final and binding for all campaign payouts.
Payment Processing
Payments are processed by Paystack, an independent third-party payment processor. Distributeme does not store or process payment card information.
Platform Service Fee
Distributeme charges a platform service fee for facilitating campaign orchestration, verification, and payouts.
Current Fee: 20% of Creator payouts
- •The platform service fee is not a payment processing fee and is separate from any fees charged by Paystack.
- •Distributeme reserves the right to modify the platform service fee upon reasonable notice.
- •Any changes to the platform service fee will not apply retroactively to campaigns already accepted.
- •The applicable platform service fee is displayed to Brands prior to campaign funding and to Creators prior to campaign acceptance.
Distributeme may investigate disputes between Brands and Creators and issue final determinations.
Informal negotiations are encouraged for at least 7 days prior to escalation.
Binding arbitration under Ghanaian law applies for unresolved disputes, excluding intellectual property or injunctive matters.
You agree not to use the Platform for any unlawful or harmful activity, including but not limited to:
- Fraud, manipulation, or artificial inflation of metrics
- Propaganda, hate speech, harassment, or discriminatory content
- Misrepresentation of identity or impersonation
- Submission of illegal, infringing, or misleading content
- Circumvention of platform rules or security measures
- Attempts to exploit system bugs, manipulate campaign outcomes, or bypass verification processes
Distributeme may suspend, disable, or terminate accounts for violations without notice.
Users must comply with all applicable laws and platform policies.
The Platform is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law:
Distributeme acts solely as a platform to facilitate campaign creation, matchmaking, workflow, and reporting. Distributeme does not control, direct, or influence the actions of Brands or Creators.
Distributeme is not responsible or liable for:
- • Any content created, posted, or shared by Creators.
- • The results, reach, engagement, or effectiveness of any campaign.
- • Any disputes, losses, or damages arising between Brands and Creators.
Distributeme's total liability for any claim, whether in contract, tort, or otherwise, is strictly limited to the amount paid by the user for the specific service giving rise to the claim.
In no event shall Distributeme be liable for any indirect, incidental, consequential, punitive, or special damages, including lost revenue, lost data, or lost profits.
By using the Platform, you acknowledge and agree that all campaign outcomes are solely the responsibility of the participating Brand and Creator, and that Distributeme serves only as a neutral intermediary.
You agree to defend, indemnify, and hold Distributeme harmless from claims arising out of:
- 1Your use of the Platform
- 2Breaches of these Terms
- 3Violations of third-party rights
- Distributeme may suspend or terminate accounts at its discretion.
- Termination does not absolve users from obligations under these Terms.
- All Platform data is hosted on Hetzner servers.
- Users are responsible for ensuring the accuracy of transmitted data.
- Distributeme is not liable for loss or corruption of user data.
These Terms are governed by the laws of the Republic of Ghana, with exclusive jurisdiction in the courts of Ghana.
